David Smalstig is a senior managing director and the Midwest region leader of the Transaction Advisory Services group of the FTI Corporate Finance/Restructuring practice and is based in Chicago. Mr. Smalstig is also a member of the firm’s Executive Leadership Forum. His corporate finance transaction expertise includes buy-side and sell-side due diligence; structuring; expert witness; post-acquisition disputes; merger integration; industry roll-ups and consolidations. Mr. Smalstig also advises clients on system conversions; interim management; change management; information technology assessments; transition service agreements; fraudulent investigations and 144(a) offerings.

Experience

Mr. Smalstig’s experience covers a wide variety of industries and he is part of the FTI Automotive Industry group. His industry experience includes industrial manufacturing; engineering; professional service firms; automotive; logistics and transportation; railroad; energy and utility; food; pharmaceuticals and medical equipment; high tech and telecommunications; plastics; construction; banking, including investment banking and brokerage firms; and consumer packaged goods. Mr. Smalstig has been involved in more than 300 transactions, including serving as a lead on numerous mergers and acquisitions within the industries. He provides analyses of historical and projected cash flows and operating results; profitability analysis of revenue sources; review and development of business plans; integration planning; post-transition management; negotiations with parties-in-interest and management of overall administrative functions.

Mr. Smalstig has advised various private equity funds including Apollo; Bain Capital; Cerberus; Code Hennessy & Simmons; Gores; One Equity Partners; Platinum Equity; Sterling Capital Partners; Thoma Bravo; Willis Stein & Partners; Wind Point Partners and Wynnchurch Capital. He has also provided advisory services for acquisitive companies, including Barnes Group; Brunswick; Delphi; Ford Motor Company; Fortune Brands; Koch Industries; Parsons and URS.

Mr. Smalstig’s recent due diligence experience includes the sell-side and carve-out work for Delphi relating to its Interiors business; buy-side and carve-out work for a private equity fund for Ford’s Glass division; working capital and cash flow improvements for Cerberus’ acquisition of Chrysler and buy-side due diligence relating to a carve-out of Brunswick’s technology group for an MBO.

Prior to joining FTI Consulting, Mr. Smalstig was a director in the Transaction Services group at PricewaterhouseCoopers and a senior manager in the Merger and Acquisition group at Ernst & Young. Before that, he served as divisional chief of staff overseeing the Americas region for URS. In this capacity, Mr. Smalstig was responsible for acquisitions; accounting; human resources; information technology; risk management and legal affairs; real estate and acquisitions.

Mr. Smalstig holds a B.S. in business administration from Bloomsburg University of Pennsylvania, and has completed graduate studies at the Manchester Business School in the United Kingdom and the University of Virginia, Darden School of Business. Mr. Smalstig is certified public accountant in Illinois and Pennsylvania. He is a member of the American Institute of Certified Public Accountants, Association for Corporate Growth, Association of Insolvency & Restructuring Advisors, Illinois Certified Public Accountants Society and the Turnaround Management Association.
