Ofri Porat is a Managing Director at FTI Consulting and is based in New York. Mr. Porat is a member of the firm’s Office of the CFO Solutions practice. Mr. Porat has more than 15 years of experience in financial operations, business process improvement, Lean Six Sigma, cost reduction, mergers and acquisitions (“M&A”) diligence, sell-side diligence, carve-out planning and post-deal merger integration.
Mr. Porat has advised clients across a variety of industries including chemicals, retail, consumer products, media and entertainment and industrial products. He has assisted multiple clients with sell- and buy-side transactions.
Mr. Porat provides his clients with the methodology, approach and tools necessary to execute detailed carve-out transactions across the operations and back-office of the carve-out entity. This includes building up the post-close cost structures, assessing one-time costs, estimating stranded costs (for sell-side transactions), preparing transition services agreements (“TSAs”) and planning for Day 1 and 100 Days integration/separation. Mr. Porat also has managed and executed numerous pre-deal due diligence efforts working with private equity and corporate clients, focusing on back office operations and selling, general and administrative expense (“SG&A”) functional areas.
Recently, Mr. Porat led a large team that assisted a private equity client with the operational due diligence and merger integration planning and execution of a carve-out from a corporate parent in the lawn service business. A representative list of Mr. Porat’s past engagements include General Electric, NewsCorp, Honeywell, Michael Kors, Electrolux, Scientific Games, Apollo Management and Carlyle Group.
