David Rush is a Senior Managing Director in the Turnaround & Restructuring practice, specializing in corporate recovery and financial advisory. He has over 20 years of experience and has held several interim management roles, including Chief Restructuring Officer (“CRO”), Chief Financial Officer (“CFO”), Treasurer and other senior finance positions. His industry experience includes oilfield services, power, oil and gas, manufacturing, consumer and packaged goods, retail, financial services and shipping.
Mr. Rush’s experience includes interim management, forecast development, business plan analysis, cost savings and liquidity initiatives, collateral evaluation, and recovery assessment. In addition, he has advised clients with merger and acquisition activities, debtor-in-possession financings, covenant negotiations, and bankruptcy preparation. Mr. Rush has represented private and public companies, lenders, creditor committees and other parties in interest.
Mr. Rush was recently the CRO of ExGen Texas Power, a subsidiary of Exelon Corp. and owner of five natural gas power plants throughout Texas. He also served as the CRO of a natural gas-to-liquids company during its bankruptcy and sales process. Prior to that, he served as the interim CFO of a Houston-based oil and gas equipment manufacturer and service provider.
Mr. Rush also served as the CFO and treasurer of Hostess Brands, a former $2.5 billion revenue wholesale bakery and distribution company. In this capacity, he oversaw the Chapter 11 process and was responsible for developing liquidity forecasts, completing pre-petition and post-petition financing transactions, negotiating with stakeholders and assisting with numerous 363 asset sales.
Mr. Rush has testified on various matters, including debtor-in-possession financings, sales proceedings, liquidation analyses, cash collateral disputes, liquidity forecasts, wind down plans and recovery actions.
A representative list of Mr. Rush’s non-confidential engagements includes exploration and production companies, such as PetroQuest Energy, Breitburn Energy, Northstar Offshore, Larchmont Resources, BPZ Resources and Tri-Union Development; oilfield service companies, such as Surefire Industries, Paragon Offshore, Sparrows Group, Vantage Drilling, Hercules Offshore, RockPile Energy Services and Geokinetics; and power/midstream/downstream companies, such as ExGen Texas Power (Exelon), Juniper GTL, Enron Corp., Texas Petrochemicals, Orion Refining and Link Energy. His retail and consumer products clients have included Hostess Brands, Ignite Restaurant Group, Bombay Company, Five Star Restaurants and Weiner’s Stores. Clients in other industries have included B&G Crane Service, Fremont Investment & Loan, Intelsat, TransCom USA, Tokheim Corp and American Eco.
Mr. Rush has received the Houston Business Journal’s 40 Under 40 Award and the M&A Advisor’s 40 under 40 award. In addition, he has received multiple restructuring and merger and acquisition transaction related awards from the Turnaround Management Association, the M&A Advisor and the M&A Atlas Awards for the work performed on Hostess Brands, Juniper GTL, ExGen Texas Power and PetroQuest Energy.
Mr. Rush holds a B.B.A. in accounting from the University of Houston and an M.B.A. from the Jesse H. Jones Graduate School of Business at Rice University. He is a Certified Insolvency and Restructuring Advisor, Certified Public Accountant and a Certified Turnaround Professional. Mr. Rush is a member of the Association of Insolvency & Restructuring Advisors and a Houston Chapter Board Member of the Turnaround Management Association.
