Dominic Santos is a Managing Director in the Turnaround & Restructuring practice. Mr. Santos has more than 20 years of experience in assisting companies with restructure operations both inside and outside of formal bankruptcy proceedings, advising lenders and equity sponsors in evaluating and managing current and prospective portfolio assets, advising creditor committees formed during bankruptcy proceedings and preparing analyses needed by clients involved in litigation and settlement discussions. He has industry expertise in a number of areas, including consumer products, gaming, telecommunications, financial services, manufacturing, distribution, retail, automotive, equipment rental, real estate, energy, chemical and defense.
Past clients of Mr. Santos include American Suzuki Motor Corporation, for which his team won the M&A Advisor’s 2013 Restructuring Deal of the Year($100-$250 million) award, Fleetwood Enterprises, Kmart Corporation, Delphi Corporation and an automotive equipment manufacturer with approximately $15 billion in annual revenue.
Mr. Santos’ company-side restructuring experience includes providing advisory services to both publicly- and privately-held multinational companies with revenues ranging from $40 million to over $30 billion. These services have included developing and critiquing business plans and corresponding financial projections, developing and updating restructuring plans, identifying and quantifying potential cost savings, determining optimal production sourcing, analyzing potential asset divestitures, calculating restructuring costs, performing competitive benchmarking analyses, developing budget versus actual reporting and creating dynamic financial models. Mr. Santos also has served in several interim senior management roles, including interim Chief Financial Officer and Controller.
Mr. Santos’ lender and equity sponsor advisory experience includes providing advisory services to stakeholders seeking due diligence assistance, recommendations for portfolio assets, business plan assessment, financial projection and model development, enterprise valuation and weekly monitoring.
Mr. Santos’ unsecured creditor committee advisory experience includes the official committees of Caesars Entertainment Operating Company, Inc., Ahern Rentals, Inc., which was awarded the M&A Advisor’s Restructuring Deal of the Year Award($500 million - $1 billion) in 2013, and Imperial Capital Bancorp. Mr. Santos’ litigation experience includes performing asset and enterprise valuations, determining solvency, assessing capital adequacy, analyzing the appropriateness of substantive consolidation, evaluating fiduciary duty compliance and calculating economic damages.
Prior to joining FTI Consulting, Mr. Santos was with PricewaterhouseCoopers’ Business Recovery Services practice.
Mr. Santos holds a B.S. in business administration from the University of Southern California. He is a Certified Public Accountant, a Chartered Financial Analyst, a Certified Insolvency and Restructuring Advisor and a Chartered Global Management Accountant, and holds a Certification in Distressed Business Valuation. He is a member of the Association of Insolvency & Restructuring Advisors, the American Institute of Certified Public Accountants, the Chartered Financial Analyst Institute, the Chartered Financial Analyst Society of Los Angeles, the Orange County Bankruptcy Forum and the Turnaround Management Association.
