Matthew Cowell has over 20 years of human resources (“HR”) consulting experience, including 15 years leading financial HR due diligence and global post-deal integrations with respect to mergers, acquisitions, carve-outs and divestitures for both corporate and private equity clients. He has been involved in over 1,200 transactions throughout his career.
Key areas of financial HR due diligence Mr. Cowell has advised include identifying key financial risks and impacts with respect to defined benefit type plans, such as pension and post-retirement medical, active medical, equity, employment agreements, change in control-related plans, IRC 280G (“Golden Parachutes”), collective bargaining agreements and transition service agreements. In addition, Mr. Cowell and his team focus on identifying potential strategic opportunities in order to mitigate risk and maximize value in both a transaction and post-deal context. This includes structuring purchase agreements to achieve transition goals and expected earnings.
Mr. Cowell’s typical carve-out assistance includes providing independent advice and HR project management oversight for the various HR workstreams of stand-alone setup or integration process. This includes the development of HR target operating model, Day 1 readiness, employee transition and offer letters, compensation, retention bonus and benefit programs, payroll and HR information systems, employee communications and HR financial modelling.
Mr. Cowell and his teams have also driven a variety of non-M&A engagements. One of these key areas is HR performance improvement initiatives, assisting clients in reviewing their current HR function, identifying inefficiencies and potential cost savings levers within the HR function and fringe.
Mr. Cowell authors thought leadership and shares insights on a variety of topics, with "Valuing Pension Plans in Merger and Acquisitions” published by Bloomberg and internally-facing articles counted among them.
Prior to joining FTI Consulting, Mr. Cowell was a Partner of HR Transaction Services (“HRTS”) within the Deal Advisory practice at KPMG, where he created and led the U.S. practice. Prior to that, he was a Partner within the HRTS practice at PricewaterhouseCoopers, where he led the New England region.
