Rupesh Shah specializes in delivering corporate finance expertise to clients in the energy, power and renewable industries. Working across a wide range of sectors, Mr. Shah advises on mergers and acquisitions, valuation, business transformation, interim management, restructuring and investments. Within power and renewables, Mr. Shah has more than 20 years of experience in utilities, retail energy, conventional generation, as well as renewable generation, including solar, wind and biofuels.

Mr. Shah has worked with notable firms, including CIBC World Markets, BNP Paribas, Sempra Energy Trading, BP and Apollo. He was previously the Chief Restructuring Officer at Abest Power Holdings, which faced a corporate history of operating losses and poor financial visibility, liquidity issues, leadership challenges, credit defaults and an equity sponsor that was in bankruptcy. Mr. Shah took on the interim CRO and CFO roles, developed and executed a strategic plan and readied the business for sale. He ran an M&A process, which culminated in a successful asset sale to a publicly-traded multi-national strategic buyer.

Mr. Shah represented the company and testified in formal utility commission hearings, as well as led stakeholder negotiations. Mr. Shah’s work led to a successful turnaround and an out of court restructuring. Under his leadership, Abest Power Holdings generated the first operating profit in its history and completed an asset sale, returning 100% of debt capital to the secured lenders. Mr. Shah has also served on several creditors’ committees involving Fortune 500 companies.

For various parties in interests, Mr. Shah serves as a financial advisor in M&A transactions, advising both public and private companies and private equity sponsors. He advises on all aspects of the deal, including due diligence on behalf of financing sources, identification of acquisition targets, buy and sale assistance and commodity risk assessment. In addition, he also provides analysis of financial and operational synergies in potential mergers and preparation and negotiation of bids and acquisition agreements on both distressed and healthy investments.

Mr. Shah has led and managed a wide range of strategic initiatives, including business transformation, financial leadership and restructurings. Related services have included the development and launch of new businesses, strategic review of existing businesses, valuations, liquidation analyses, competitive benchmarking, distressed asset marketing and sales, financial leadership, renegotiation of credit facilities and implementation of cash management programs.

As an award-winning practitioner, Mr. Shah’s work has been previously recognized by CIBC in its annual Chairman’s Awards program and for closing the “Deal of Year” in Buyout Magazine.
