Steven Lagnese is a member of the Transaction Services practice. He has over 12 years of experience in both buy-side and sell-side due diligence, carve-outs, merger integration, forecasting and business plan reviews. Mr. Lagnese has industry experience in consumer and industrial products manufacturing, healthcare, automotive, technology, telecommunications, paper and pulp, and construction.
Mr. Lagnese has consulted for private equity and lending clients, such as Goldman Sachs, Wynnchurch Capital, Clearview Capital, One Equity Partners and Capital One, among others, working closely with company management, investment banks and financial sponsors to achieve desired results.
In regards to manufacturing, Mr. Lagnese’s transaction experience includes sell-side due diligence for the largest manufacturer of in-ground vinyl swimming pools and components with $240 million in revenue. He also worked on buy-side due diligence for a precision valve manufacturing company that produced components for installation in U.S. naval aircraft carriers. Following the company’s acquisition, Mr. Lagnese led the merger integration process around the company’s finance and accounting function, establishing month-end closing procedures and developing percentage of completion calculations and cost accounting policies.
Mr. Lagnese’s automotive experience includes sell-side financial diligence for a front-end auto frame manufacturer with revenues of more than $300 million; sell-side due diligence for a major North American wiper blade manufacturer with revenues of $450 million operating in both aftermarket and OE markets; and buy-side due diligence for an aftermarket and OEM supplier of auto filters and spark plugs with revenues of $400 million.
In regards to healthcare, Mr. Lagnese has conducted lender due diligence for a highly acquisitive $60 million dental practice management company, which included orthodontic, pediatric and general dentistry practices. He also conducted sell-side due diligence and carve-out of a behavioral health segment of a healthcare business, with revenues of approximately $375 million, and assisted in organizing the transition and separation plan associated with the sale of this segment.
Prior to joining FTI Consulting, Mr. Lagnese was a Senior Associate in the Private Company Services practice at PricewaterhouseCoopers (“PwC”) in Chicago. At PwC, he performed financial statement audits primarily for private equity portfolio companies, serving clients such as Metalmark Capital, Roundtable Healthcare Partners, Goldengate Capital and Pfingsten Partners. Mr. Lagnese also performed financial statement audits for several of the worlds largest law firms, including Kirkland & Ellis and Jenner & Block. Some specific areas he worked on included cash, accounts receivable, prepaid rent, fixed assets, debt, interest rate caps, equity, liabilities, revenue and expenses.
Mr. Lagnese holds a B.S. in accountancy with a focus on business statistics from the Richard T. Farmer School of Business Administration at Miami University.
