Our Service Offerings

  • Integration/Separation Management Office (“IMO”/“SMO”) drives the overall coordination of roles, responsibilities and communication of information between the steering committee and key stakeholders involved in the transaction, and challenges integration plans for reasonableness and cross-functional alignment.
  • Operating Model Design involves designing the operating model for the combined business, both at the company level and by function, forming the foundation for all subsequent planning milestones and execution.
  • Functional/Value Driver Design and Planning involves outlining the detail of the Day 1 interim and desired state plans for each function, with milestones, plans, risks, issues and dependencies to help functional leads manage deliverables.
  • Organizational Design creates a comprehensive analysis that leverages previous experience and industry benchmarks to understand what the true needs of the organization will be and how to optimally meet those needs.
  • Synergy Capture Planning involves planning sessions with business and functional leaders to identify, quantify, prioritize and track the execution of synergistic opportunities.
  • Transaction Services Agreement (“TSA”) Development involves developing a schedule of services that identifies and quantifies TSA service requirements for the NewCo post-closing to minimize business disruption for all entities involved on Day 1.
  • Day 1 Readiness involves high-level assessment of all transactional, organizational and functional planning to minimize issues and surprises upon transaction close.
  • Customer and Employee Experience insures a seamless experience for employees and customers during the transitional phase.
  • Clean Room Services performs pre-close analysis of the target company in a controlled data environment, specifically as it pertains to competitively sensitive information. Anonymized outputs can be used to help drive decision-making and accelerate the realization of synergies.
  • Pre-Close Transition Communications provides effective communications to internal and external stakeholders to preserve value, continuity and reputation during the pre-closing period.
