IT Due Diligence
We identify and report current state IT strengths, weaknesses and threats, as well as future state opportunities and requirements to reduce IT risks and costs, improve capability and service delivery, and add enterprise value. We deliver tailored reports, from high level “red flag” risk assessments to deep thesis-based analyses, with value creation recommendations and one-time and run-rate cost models.

Merger Integration
We identify and quantify IT enabled merger integration synergies and value creation opportunities. We help define an appropriate future state IT environment and design the IT roadmap to transition from current state to future state. We manage IT Integration programs at all stages and levels, including pre-close preparation, day-1 execution and 100-day program management of internal and 3rd party / vendor resources.

Buy Side Carveouts
We identify the IT components needed to stand-up a carved-out business and help select the best solutions. We examine the degree of IT systems and data entanglement, and define the separation and TSA approach, activities and timing. We identify the one-time and run-rate IT resources and costs necessary to stand-up and operate the business. We manage all aspects of IT Carve-out programs, including TSA, internal and vendor resources, often in an interim IT leadership role.

Sell Side Carveouts
We identify the IT components that need to be divested with the carved-out business. We examine the degree of IT systems and data entanglement, and define the support, separation and TSA approach, activities, timing and costs. We manage all aspects of IT Carve-out programs, including TSA compliance and exit, contract novation, and internal and vendor resources, often in an interim IT leadership role.

We assist sell-side leaders in understanding the changes that will occur as businesses are divested.  We look at IT systems as well as data and processes, with a specific focus on how the TSA will impact ongoing activities, timings, costs, and resources.
