Pfizer Completes $43 Billion Acquisition of Seagen
Seagen is a global biotechnology company that discovers, develops and commercializes transformative cancer medicines. In March 2023, Pfizer and Seagen announced that they had entered into a definitive merger agreement under which Pfizer would acquire Seagen. Counsel for Pfizer and Seagen drew upon Compass Lexecon's economic analysis and logistical support to comply with the FTC’s second request for information.

Hitachi Metals Wins Appeal in Landmark Antitrust Ruling by China’s Supreme People’s Court
In December 2014, four Chinese producers (“plaintiffs”) of sintered neodymium-iron-boron (“NdFeB”) magnets alleged that Hitachi Metals, a leading producer of magnetic materials headquartered in Tokyo, had abused its dominant position in the patent licensing market for the sintered NdFeB essential patents held by Hitachi Metals by refusing to license patents to the plaintiffs. In the first instance judgment, the Ningbo Intermediate People’s Court sided with the plaintiffs. Hitachi Metals appealed the decision and brought the matter to the SPC in July 2021.FTI Consulting’s subsidiary Compass Lexecon was retained by Hitachi Metals to provide expert reports and testimony.
Helping Yunneng Wind Power Fund One of Taiwan’s Largest Offshore Wind Farms
FTI Consulting was engaged as the financial advisor for the 25 global lenders to Yunneng Wind Power Co. Ltd, which developed the Yunlin Wind Farm, one of the largest offshore wind farms in Taiwan. Following significant delays and increases in construction costs that threatened the viability of the wind farm, the project required €1.7 billion of new capital and a restructuring of its existing debt of €2.9 billion.
Managing Celsa’s Historic Restructuring
After 2009, the company’s cash generation profile changed dramatically, pushing Celsa into multiple restructuring agreements — first in 2013, and again in 2018. After 2018, most debt had been traded to special situations funds and other private credit investors. In September 2022, a change in restructuring law in Spain allowed Celsa’s creditors to present a restructuring plan unilaterally — the first of its kind in Spain — converting debt into equity and fully diluting the local family office. Celsa’s creditors engaged FTI Consulting to lead the company’s transition during the in-court restructuring plan’s implementation.
Helping a Spanish Manufacturer Respond to a National Government Investigation
FTI Consulting was appointed to carry out a due diligence exercise to help the client understand the facts of the matter and respond to the authorities. During this process, the company and its majority shareholding investment fund identified a series of potential irregularities across the business that could disrupt operations and impact compliance.
Savings Uncovered for Leading European Contact Centre
Following the signing of a merger, FTI Consulting was engaged by the international private equity fund that owned a leading contact centre to identify back-office areas with the greatest potential for performance improvement and prepare an implementation plan.
Providing Complex, Time-Sensitive Investigation and Document Review for the MÁSMÓVIL and Orange Merger
To fulfil the request from the authorities on time, the companies needed to implement a plan to enable rolling document reviews and productions. To add to the complexity, there were also heightened sensitivities about the justification for withholding any documents due to privilege. The parties engaged FTI Consulting to lead discovery and document review for both organisations and support the needs of the merger review before its approval in February 2024.

Bringing Free Computer Science Education to the World
Code.org — an education innovation nonprofit dedicated to providing all students with the opportunity to learn computer science as a driver of equality and development for underprivileged minorities and underserved areas for free as part of their core K-12 education — had become well-recognised in schools across North America, but its brand did not have the resources or organisational support globally to have the same impact in other parts of the world.Seeing an opportunity to scale its influence globally, Code.org began a pro bono partnership with FTI Consulting’s Dubai-based professionals to help bring its curriculum to countries across Europe, the Middle East and Africa.FTI Consulting and Code.org identified 11 countries that would benefit from Code.org’s curriculum, including Spain, Italy, Morocco, UAE, Saudi Arabia, Qatar, Egypt, Kenya, Pakistan, Kazakhstan and Tajikistan.Experts developed and proposed five-year plans for countrywide integration of Code.org’s resources and worked alongside each country to measure agreed-upon key performance indicators.The team raised awareness by leveraging influential figures, public campaigns and key events, and worked to create public and private partnerships to help fund scholarships for training teachers on Code.org’s resources.
Helping Financial Institutions Combat Child Exploitation through Compliance Programs
With online sexual exploitation of children rising, early detection and prevention of suspicious activities is essential. Monitoring and tracking suspicious financial behaviour might provide insight into sources of child exploitation, so banks and financial institutions (“FIs”) have an opportunity to form compliance programs, which address this directly. In late 2020, FTI Consulting’s investigations and financial crime compliance experts began a collaboration with global law firm Freshfields and the International Centre for Missing and Exploited Children (“ICMEC”) to develop the Child Protection Toolkit - a resource designed to help banks and FIs structure their compliance programs to detect and prevent the misuse of the financial system for online child sexual exploitation.
Supporting the International Campaign for a Special Tribunal for Ukraine
With the UN and the International Criminal Court unable to provide accountability for the February 2022 invasion of Ukraine, a campaign for an alternative mechanism was needed. Our experts helped drive change by providing strategic counsel to a new independent human rights non-government organisation, Justice and Accountability for Ukraine (“JAFUA”), which was established to advocate for a special international tribunal for the crime of aggression against Ukraine and its people.
Amplifying the Importance of Parental Leave Equity with Parents At Work
In collaboration with UNICEF Australia, Parents At Work, an organisation providing employee benefits through work and family education and policy advisory services, launched a report called Bridging the Work and Family Divide: Understanding the Benefits of Family Friendly Workplaces. The report explores the outcomes for organisations, employees and their families when family-friendly workplace policies and practices are both promoted and implemented. Parents At Work partnered with FTI Consulting’s strategic communications experts to help amplify the launch of the report and Parents At Work’s newly launched Family Friendly Workplaces Program (“FFW”), a recognition framework that benchmarks and certifies employers as a “Family Inclusive Workplace.”
Maintaining Public Confidence in the National Health Service (“NHS”) During COVID-19
As infection rates rose through the first COVID-19 wave in 2020 and the more pronounced winter crisis at the start of 2021, NHS England needed additional strategic communications support to handle unprecedented volumes of media requests and enable access to hospital sites during the peak of the pandemic. NHS England turned to FTI Consulting to help convey the importance of adhering to public health guidelines and uphold public confidence in the institution.
