Heath Gray is a Managing Director at FTI Consulting and is based in New York. He is a member of the Corporate Finance & Restructuring segment and the Telecommunications, Media & Technology (“TMT”) practice.

Mr. Gray regularly advises companies undergoing financial distress and/or transformational events, including merger and acquisition (“M&A”) or operational turnarounds. His work covers business recovery and restructuring, interim management, M&A advisory, private capital financing, performance improvement, business transformation, business plan development and due diligence. He also regularly assists companies with their assessment of strategic alternatives, liquidity management and contingency planning.

Mr. Gray has advised companies, boards, sponsors and lenders in a variety of restructurings where he contributed to the development and implementation of detailed restructuring plans, negotiation and structuring of forbearances and amendments with lenders, development and/or detailed analyses of business plans, cash flow projections and financial forecasts and the administration of bankruptcy cases, including preparation of petitions, motions, case-specific affidavits, liquidation analyses, plans of reorganization and disclosure statements. Restructuring engagements that Mr. Gray has advised on include the Chapter 11 cases for Quirky, Nextel International, Reader’s Digest, THQ and Otelco, as well as out-of-court restructurings for a number of companies, including a $600 million audio video integrator, a $130 million advertising technology company and a $100 million specialty multi-media information company.

Mr. Gray recently served as Associate Chief Restructuring Officer for a global digital media company where he assisted the company with cash flow and liquidity management, oversaw a sale process for one of the company’s divisions and managed the refinancing of the company’s first lien credit facilities. He also has recently served as Interim Vice President of Finance for a venture-backed consumer technology company, and Interim Treasurer for a private equity-backed wireless engineering and construction company.

Select M&A transactions Mr. Gray has worked on include the sale of a $100 million cable TV and telecommunications business based in the Caribbean, individual regional sales of Reader’s Digest’s International direct marketing businesses, the sale of an $85 million programmatic advertising technology business and the merger of Young Broadcasting with Media General.

Strategic advisory and performance improvement services Mr. Gray has provided include the development and implementation of a harvest strategy for the Asia Pacific subsidiaries of a global direct marketing business, a comprehensive performance improvement assessment and implementation plan for a U.S. newspaper business, development of a new advertising pricing model for a newspaper holding company, business plan development for an early-stage printed electronics company and cost savings and other process improvement plans for a wireless telecommunications services company.

Prior to joining the TMT practice, Mr. Gray was a member of FTI Consulting’s Strategic Communications segment where he provided strategic investor relations and crisis communications advisory to management teams and boards of directors for companies undergoing transformational events, including restructuring actions and M&A, as well as activist situations related to financial performance and corporate governance.

Prior to joining FTI Consulting, Mr. Gray worked at Wachtell, Lipton, Rosen & Katz supporting M&A-related litigation, and Merrill Lynch’s Office of Government Relations in Washington D.C. where he represented the firm on legislative and regulatory matters affecting Merrill Lynch’s banks and other financial institutions.

Mr. Gray holds a B.A. in Public Policy Studies from Duke University. He is a member of the Turnaround Management Association and the Association of Insolvency and Restructuring Advisors.
