A leading global laboratory services provider sought to acquire a competing western European operator to strengthen its market position. To support this strategic acquisition, the client required a comprehensive analysis of the target’s processes, organisational structures and performance metrics to determine the operational capabilities, integration feasibility and synergy capability of the potential acquisition.
FTI Consulting delivered an end-to-end operational due diligence spanning the complete laboratory value chain, technology infrastructure, cybersecurity capabilities and executive integrity, providing the multidisciplinary expertise and KPI-driven insights necessary to underpin valuation, de-risk the transaction and build a robust integration roadmap.
- The client realised a holistic KPI-driven assessment of the target’s location structure, human resources and administrative overheads operations throughout the value chain, highlighting optimisation opportunities and reliable synergy estimates to enable best-practice integration.

- Our experts benchmarked target operations against the buyer’s existing structures and executed a comprehensive, KPI-led operational due diligence across the complete laboratory value chain, from medical order intake, logistics and lab analytics to billing and administrative operations.
- FTI Consulting conducted reputational and integrity due diligence on the top three target executives to surface any historical liabilities and foreseen risks.
- The team produced specialised assessments of the target’s technology and cybersecurity infrastructure to design a detailed IT integration roadmap with remediation capital expenditures and a hyper care plan to de-risk post-acquisition integration of technology.
