Her expertise includes liquidity management, profit improvement through operational restructuring, organizational and process redesign, capital sourcing and business and creditor workout and management. Historically, her work has created a ten-times return on investment for her clients of within 24 months.
Cynthia has been recognized with multiple prestigious industry awards including 2021 Turnaround of the Year (Global M&A Network), 2020 Turnaround and Transaction of the Year (Turnaround Management Association) and 2020 Out-of-Court Restructuring of the Year (Global M&A Network). Relevant Experience:
- Chief Restructuring Officer (“CRO”), for a multi-state health network: improved EBITDA by $19 million in 6 months, stretched 8 weeks of cash over 8 months, achieved a creditor standstill out of court, and orchestrated a strategic sale at 10-times improved EBITDA, which repaid all creditors and saved 1,300 jobs.
- Buy-side Advisor for a state hospital system: pre-deal analysis showed the target pro-forma to be much worse than stated, such that planned synergies were not achievable. The buyer modified its offer, and ultimately walked away to preserve its own profitability.
- CRO for a global biotech company: with revenue down 50% from the prior year, Ms. Romano identified and implemented operational improvements of $10 million within one year, which restored profitability and cash flow and created a foundation to re-grow revenue.
- Financial Advisor for a multi-state skilled nursing facility (“SNF”)/assisted living facility (“ALF”) portfolio: transformed the portfolio financially and operationally - facility by facility - resulting in improvement to profitability and cash flow, sufficient to de-lever the organization by around $100 million in senior debt, about $60 million of mezzanine debt, and about $30 million trade debt.
- Financial Advisor to debtors (NYC), for a multifamily residential property: oversaw the international mediation and negotiated a resolution between the impaired secured parties, successfully selling the asset sale for $506 million, the largest single-asset multifamily sale in the U.S. in three years.
- Financial Advisor for a high-end private golf club: successfully negotiated and closed the secured debt purchase by high profile member-residents, which avoided a foreclosure on and a take-public of the club and its affiliated residential real estate portfolio. During negotiations, Ms. Romano oversaw club operations (course, food and beverage, fitness center) to ensure efficient use of lender’s cash.
- CRO Manager of Flatiron Hotel (NYC): oversaw the CRO who operated the Flatiron Hotel during its bankruptcy and subsequent sale; ensured that cash was maximized for the estate and operations remained smooth for guests.
- Interim CFO for a $1.5 billion private equity-backed tech company: filled the leadership gap during the search for a permanent CFO. Ms. Romano initiated several performance improvement programs, a liquidity enhancement plan, and collaborated with the PE fund and the CEO on budget and strategy. The year-end cash was 80% better than what was forecasted when Ms. Romano assumed the role.
- Interim General Manager for a media and animation studio: Ms. Romano was recruited to grow revenue and improve profitability. She managed work from lead to delivery, increased revenue 100% in 9 months, and implemented an organizational redesign that decreased cost by 15%.
- Founder and CEO of a technology services company: provided programming, project management, strategy, capital sourcing and investment diligence for those seeking to improve performance using emerging technologies. The firm was on the bleeding edge of emerging technologies with a client list that included Fleet Bank, Bank Boston, Apple, Sony, NYU, Brown University, Harper Collins, Addison Wesley Longman, et al.
- Interim CFO for a B2C energy services company: returned family business to profitability after three loss years via improved financial reporting, renegotiated procurement contracts, new hedging program, restructured customer contracts, newly segmented pricing, SKU reduction and reorganized staffing. During her term, EBITDA increased around $5 million on 19% less volume in 18 months.
- CRO and acting CFO of a construction manufacturing and engineering services company: along with complete cash and financial management, Ms. Romano supported the process redesign and QC improvements for manufacturing, renegotiated vendor contracts, created new incentive compensation, and worked with CEO on succession. The company refinanced and returned to profitability within one year.
- Interim COO for a manufacturer: Ms. Romano was hired after the sponsor fired the entire management team due to lack of profitability. Her operational restructuring resulted in a production increase of 36%, waste decrease of 17%, a drop in unit cost of 11%, and an increase in on-time delivery from 27% to 98%, with a return to profitable in 4 months.
- Practice Leader for a middle market advisory firm: in this role, Ms. Romano repositioned the practice focus, expanded practice offerings, increased market awareness, restructured resource management and grew revenue and profitability 3x in four years.
- Federal Receiver for a global importer and retailer: Ms. Romano was appointed at the behest of the secured lender who was unable to view the borrower’s cash flow. She ran the global operation, traced missing cash, prepped claims, testified and orchestrated the sale of equity and the refinancing of secured debt - with the lender ultimately recovering at par.
