FTI Capital Advisors Supports VEON in Closing Strategic Infrastructure Partnership With Engro Corporation

Dubai, 3 June 2025 — FTI Capital Advisors (DIFC) Limited (“FTICA Dubai”), a subsidiary of FTI Consulting, Inc. (NYSE: FCN), acted as sole financial advisor to VEON Ltd. (“VEON”) the parent company of Pakistan’s leading digital operator, Jazz, on the closing of its strategic infrastructure partnership with Engro Corporation.

The partnership involved the contribution of 10,617 towers owned by Deodar Private Limited, a wholly owned subsidiary of Jazz, to Engro Connect (Private) Limited, a subsidiary of Engro Corporation, for a total value of approximately US$560 million. This is a landmark transaction for the whole region and supports VEON’s strategy to become an asset-light operator focused on operational excellence and offering a differentiated customer experience.
