FTI Consulting Advises Guardian Group on Sale of Thoma Groep to PIB Group

London, 5 December 2024 — FTI Consulting, Inc. (NYSE: FCN) and FTI Capital Advisors, the firm’s wholly owned M&A advisory firm, alongside strategic partner BHB Dullemond, served as the exclusive financial advisor to Guardian Group on the sale of its subsidiary Thoma Groep to PIB Group. The transaction is subject to regulatory approval.

Thoma Groep is a leading Dutch commercial lines insurance distribution platform with more than 65 years of experience in the insurance sector. The company provides a full-service offering, including retail and wholesale brokerage as well as MGA capabilities, serving both small and medium-sized enterprises and private individuals.

The deal builds on FTI Consulting’s expertise in the European insurance M&A market and follows a string of successful transactions, including the investment into Yellow Hive by TPG, the acquisition of Certe Group by IceLake Capital, the investment into Paratus Holdings by Ara Partners and the acquisition of FVB by Yellow Hive.
