Numis, a leading independent UK investment bank and retained client of FTI Consulting, sought counsel and communications support following a takeover approach by Deutsche Bank AG. For a business whose main asset is its people, timely communication with Numis employees to reinforce the strategic rationale for the transaction was essential, as was the value proposition for shareholders. The timing of the transaction coincided with more difficult capital markets conditions and deal secrecy was paramount.

Following extensive advice from FTI Consulting, the proposed offer was successfully announced on April 27, 2023. The announcement clearly outlined the strategic rationale for the transaction as well as the intentions of Deutsche Bank for the Numis business whilst further advocating the clear benefits to the combined business’s clients, shareholders and employees.

The deal took place during a period of relative weakness for the investment banking industry, with capital markets activity at record lows. It was therefore imperative that Numis’ strategy should not be interpreted as a defensive or rescue ploy — a hands-off approach would risk stakeholders forming opinions based on market sentiment, which was overwhelmingly negative at the time. 

  1. FTI Consulting mapped existing media relationships and built and activated strategic new ones.    

  2. A proactive and coordinated media approach helped to secure supportive media commentary.   

  3. The team ensured a compelling case for all stakeholders and a vote of confidence in the UK capital markets ecosystem.

Providing Complex, Time-Sensitive Investigation and Document Review for the MÁSMÓVIL and Orange Merger

To fulfil the request from the authorities on time, the companies needed to implement a plan to enable rolling document reviews and productions. To add to the complexity, there were also heightened sensitivities about the justification for withholding any documents due to privilege. The parties engaged FTI Consulting to lead discovery and document review for both organisations and support the needs of the merger review before its approval in February 2024.

Octopus Energy Helps British Consumers Save Millions on Energy in a Reformed Market

Octopus Energy, an active participant in the UK Government’s Review of Electricity Market Arrangements, asked FTI Consulting to assess how large energy-intensive consumers could save on electricity bills by locating their operations to make the most of regional prices. Together with Octopus Energy, our teams created two case studies, one for an electrolyser and one for a data centre, to see what would happen if they each sited their operation in Scotland instead of the South to make the most of regional pricing.
