About Ryan
Ryan Baker specializes in advising on merger and acquisition (“M&A”) transactions for private equity groups and corporate clients. Mr. Baker has more than 15 years of experience, covering companies in the technology (software and hardware), industrial products, retail and consumer goods and food and beverage (including wine) industries.
Mr. Baker has worked on deals covering the full spectrum of transaction types (e.g., buy-side, sell-side, majority/minority stakes, auction processes, debt issuances), with enterprise valuations ranging from USD$10 million up to USD$1 billion.
Mr. Baker’s M&A expertise encompasses financial due diligence, quality of revenue/earnings and working capital analyses, maintenance vs. growth capital expenditures analysis and free-cash-flow modeling.
In addition, Mr. Baker conducts reviews and analysis of business financial models and projections, as well as provides purchase agreement advice and post-transaction dispute support and earn-out analyses. He has worked on more than 50 deals, including transactions involving multi-national entities with complex intercompany transactions and consolidations and multiple functional currencies.
Before joining FTI Consulting, Mr. Baker was a Director in RSM’s Transaction Advisory practice in San Francisco and a key member of its sell-side practice.
Mr. Baker holds an M.B.A. from Drexel University and a B.S. in Managerial Economics from the University of California at Davis. He is a Certified Public Accountant and a member of the American Institute of Certified Public Accountants and the Association for Corporate Growth, San Francisco chapter.
