Amir Agam co-leads the Turnaround & Restructuring practice’s U.S. West Region. Mr. Agam specializes in advising companies that are underperforming or undergoing significant transitions, often helping them navigate through some of their most critical and challenging periods. He has over 20 years of experience focused on turnarounds, including in- and out-of-court restructurings; interim management; performance improvement; and liquidity management and forecasting. Mr. Agam has served in interim management positions such as interim Chief Financial Officer (“CFO”), Chief Restructuring Officer (“CRO”) and interim Chief Executive Officer (“CEO”).
The industries that Mr. Agam has worked in include media and entertainment (including film distribution, video games, TV production and film exhibition), retail, grocery, consumer products, business services, manufacturing and distribution, education and financial institutions.
Specific areas of Mr. Agam’s experience include executing operational improvements; post-acquisition operational changes; finance, accounting and FP&A structure re-alignment; liquidity management; sale or investment processes; in- and out-of-court restructurings; business plan development and review; cash flow forecasting; development of accounting and finance function capabilities; negotiation of restructuring plans; bankruptcy planning and execution; obtaining financing; business and asset sales; and maintaining operations during transitions.
Mr. Agam has been involved as the company’s advisor in some of the most prominent restructurings in Southern California including publicly filed cases such as Fleetwood Enterprises, THQ, Inc., Corinthian Colleges, Fresh & Easy and Open Road Films.
With respect to CRO work, Mr. Agam served as the CRO of Open Road Films, a film distribution company, prior to and during its bankruptcy where he conducted negotiations with secured lenders on financing and operational issues, managed bankruptcy filing and sale process, operational issues, and cash forecasting/liquidity management, resulting in the successful sale of the company’s assets in a complex 363 sale. He also served as CRO for Fresh & Easy, a grocery chain with over 100 stores, where he worked with management and the parent company to address strategic questions on the company’s direction. He oversaw all elements of the bankruptcy process, including negotiations with key constituents, lease and asset sales, store liquidation, and sale of equipment. He also served as CRO and later interim CEO for the parent company of a well known consumer equipment manufacturer, overseeing negotiations with key creditors.
Mr. Agam served as interim CFO for a sports events company upon its acquisition as a private equity portfolio company, where he built finance department capabilities, including cash forecasting and management. He also managed all elements of the finance and accounting function until permanent CFO was hired and transitioned. Additionally, Mr. Agam served as interim CFO for a television production company, where he managed key finance and accounting functions, including financial reporting and forecasting and addressing other key priorities.
As a result of Mr. Agam’s industry expertise and history of success, he was recognized as one of M&A Advisor’s 40 under 40 Emerging Leaders in the Service Professional category in 2015. In 2020, he was recognized as a Restructuring & Insolvency Adviser Thought Leader by Who’s Who Legal. While he served as Chief Restructuring Officer, Open Road Films was successfully sold in a complex 363 sale process that was awarded the M&A Advisors’ Distressed M&A Deal of the Year in the $75 - $100 million category and the M&A Atlas Awards’ Restructuring Deal of the Year (Middle Markets).
