John Potter specializes in merger integrations. Mr. Potter has over 25 years of experience in all areas of corporate development, including improving time to value and return on technology investment, stakeholder alignment, IT vision, strategic planning, IT operating model, architecture to execution and delivery of complex solutions.
Mr. Potter has extensive experience implementing applications in highly integrated environments and leveraging business process management and enterprise service business technology in a service-oriented architecture to achieve flow through in the quote to cash, automating manual, reduction in operating expense and elimination of revenue leakage processes.
Mr. Potter’s acquisition experience within the software sector includes assessing acquisition targets for fit and risk, including determining the acquisition’s relative strength in their market segment; executing and identifying disruptive trends that threaten the acquisition's future growth; rationalizing software assets across a portfolio to develop a future state view; developing integration strategy; and identifying assets outside the core product family that could cause a distraction in the future.
Mr. Potter has also led IT workstreams as part of carve-outs with private equity firms. He constructs and rationalizes the side-by-side IT service portfolios that will retire technical debt and consolidate onto a common platform and process, leading to an optimized end state. Mr. Potter performs rationalization on several dimensions, including support of the NewCo operating model; ability to transform the NewCo; synergies; cost to achieve; level of integration; scalability; and more. Mr. Potter is responsible for all aspects of the integration plan, including rationalization of IT services; consolidation strategy; end-state architecture; implementation plan; budget; and synergies that will be achieved with the integration.
In addition, Mr. Potter identifies shared services, such as finance and HR, that are typically not included as part of carve-out transactions. He has negotiated numerous transition services agreements (“TSAs”) over his career and helps clients gain favorable terms based on standard TSA best practices. Mr. Potter has deep understanding of the application provider landscape as a result of his extensive RFP diligence experience, which has positioned him to provide his clients with invaluable insight on capability, cost and timelines that can accelerate their selection to meet aggressive TSA deadlines.
Mr. Potter also provides guidance on the different options available, from migrating to the cloud to business process outsourcing service offerings. As part of the selection, Mr. Potter leads all phases of the technology diligence from the vendor short list, RFP, evaluation and selection to contract negotiation.
Prior to joining FTI Consulting, Mr. Potter was responsible for the full lifecycle management of applications in the American Management Systems portfolio, which included applications that were hosted in a managed service arrangement for some of the largest wireless carriers in North America. Before that, he was a Senior Executive at TW Telecom, where he managed both an internal software development organization as well as system integrators responsible for large commercial off-the-shelf implementations.
