Karol Lysenko

Karol Lysenko is a senior transaction advisory specialist with close to 20 years of M&A experience amassed in the energy and infrastructure sectors, supporting corporate investors and financial sponsors (infrastructure, private equity, pension and sovereign wealth funds). Over the years, Karol has provided due diligence on more than 100 transactions across the UK and Europe, with a cumulative value in excess of $100 billion.

Karol specialises in providing financial and commercial due diligence, transaction structuring and deal marketing on a wide range of M&A situations, including complex carve-out and class transactions, as well as in support of refinancing and IPO processes, acting for bidders and sellers alike. In addition, he provides clients with strategic and tactical advice in respect of negotiating sale and purchase agreements and the preparation and review of completion accounts.

Karol’s transaction experience spans key energy and infrastructure asset classes and includes regulated utilities, such as water, gas, electricity and district heating; conventional electricity generation; renewable energy, including wind, solar, biogas and biomass; and energy retail and trading. His experience also includes work for downstream and midstream oil and gas, including pipelines, storage, liquefied natural gas (‘LNG’) assets; smart meters; transport, such as car parks, ports and EV mobility; digital infrastructure (fibre networks); and infrastructure services.

Prior to joining FTI Consulting, Karol served as a director on KPMG’s Deal Advisory team, where he led multidisciplinary due diligence projects in various jurisdictions across more than 10 countries.

Karol is a native Polish speaker and is bilingual. Additionally, he is a professional working proficiency German speaker.
