Matt Smith’s practice focuses on insolvency and commercial litigation, business valuation, and corporate restructuring. Mr. Smith has nearly 20 years of experience with engagements in the retail, education, telecommunications, cryptocurrencies, utilities, energy, healthcare, financial services, professional sports, pharmaceuticals and direct-to-consumer marketing industries.
Mr. Smith has extensive experience in commercial and insolvency litigation matters. He prepares analyses to determine solvency or damages involving fraudulent conveyances, preferences, breach of contract, breach of fiduciary duty and shareholder disputes. He oversees all aspects of litigation engagements including document review, industry research, analysis, strategy planning, report preparation and deposition and trial testimony.
Mr. Smith also leads clients through Chapter 7 and 11 bankruptcies and out-of-court restructurings, including debtors, unsecured creditors’ committees, trustees, secured lenders and equity committees. Specifically, he has prepared first day motions, debtor-in-possession (“DIP”) budgets, 13-week cash flow projections and variance reports, bankruptcy schedules and statements of financial affairs, long-term business plans and forecasts, liquidation analyses and plans of reorganization.
Relevant Experience:
- Consilio: Issued rebuttal expert report that calculated damages caused by an alleged breach of contract claim and testified at arbitration
- Core Scientific: Analyzed proposed business plan and negotiated plan valuation, allowing equity to maintain majority ownership of reorganized entity
- Frederick County Sanitation Authority: Calculated damages recognized by utility provider due to residential developer’s breach of contract
- Marfrig: Defended alleged damages related to a put option provision as part of a $2.4 billion transaction with Tyson Foods
- MF Global: Prepared valuation supporting $2 billion of damages resulting from management’s strategy of investing in European RTM securities
- Prestige Communications: Normalized a three-year financial restatement and prepared valuation of a $1.1 billion asset sale in defense of a fraudulent conveyance claim brought by Adelphia Communications after its bankruptcy filing
- Sears: Recast multiyear financial projections for solvency analyses at the time of several historical transactions, leading to a $125 million settlement
- UFC: Prepared an expert report demonstrating the UFC’s ability to increase fighters’ compensation by at least $525 million over a six-year period
