About Rodolfo
Rodolfo Araujo advises companies of all sizes on corporate governance and investor engagement, focusing on activism defense, ESG management, and mergers & acquisitions. He frequently engages with corporate directors, executive officers, dissident shareholders, and institutional investors.
Mr. Araujo advises public and private companies on ESG management and communications, including materiality assessment, benchmarking to best practices and peers, ESG strategy and program development, and stakeholder engagement.
In activism defense, Mr. Araujo has conducted vulnerability assessments and created activism mitigation strategies for companies globally, with clients ranging from microcaps to mega-caps. Further, he recently supported Detour Gold efforts to prevent shareholder opposition from disrupting its transaction with Kirkland Lake, provided counsel to Cincinnati Bell in its interactions with activists and its go-private transaction, and helped to successfully defend Argo Group in a proxy fight with Voce Capital. Prior to joining FTI Consulting, Mr. Araujo was a Vice President in ISS’ Special Situations Research Group, where he advised on approximately 100 contested situations. His role at ISS focused on providing analysis and voting recommendations on proxy fights for board seats, including Procter & Gamble, Arconic, ADP, General Motors, and Buffalo Wild Wings; as well as contested M&A transactions and hostile takeover attempts, including Broadcom/Qualcomm, Dell Technologies’ conversion into Dell Class C, Cigna/Express Scripts, Rite Aid/Albertsons, PrivateBancorp/CIBC, Ensco/Rowan, EQT/Rice, and Hyundai Mobis/Glovis. He was also responsible for structuring the financial analysis framework that ISS uses to evaluate both contested and uncontested M&A transactions.
Prior to ISS, Mr. Araujo served as a Research Analyst at Sands Capital, a growth-oriented global asset manager with approximately $50 billion under management. Rodolfo joined Sands Capital from INCA Investments, a value-oriented equity hedge fund with a focus on Latin America, where he served as an Investment Analyst.
Mr. Araujo holds an M.B.A. from The Tuck School of Business at Dartmouth College, M.A. in Marketing from ESPM, and a B.A. in Communication from Catholic University of Salvador. He is also a CFA charterholder.
