Roland Holz

Roland Holz is a Senior Managing Director and Lead of the Tax practice at FTI-Andersch Assurance, a Limited Liability Auditing Firm and Cooperation Partner of FTI Consulting for tax matters in Germany. As a tax advisor, Roland has more than 20 years of experience gained while working for international tax and auditing firms in Mannheim, Frankfurt, Dusseldorf and New York. Among other roles, he led the global service line for M&A at one of Germany’s largest tax advisory firms for more than five years.

Roland provides comprehensive support to clients in domestic and cross-border M&A transactions on both the buy- and sell-side. He has extensive experience in tax structuring, tax due diligence and contract negotiations in complex situations. His contributions to value creation range from tax support during exits, including carve-outs, and helping clients mitigate risks and capitalize on opportunities during acquisitions, through to tax-optimized post-deal integration projects. In addition to his M&A experience, Roland has supported numerous financial restructurings, refinancings, trustee arrangements, insolvencies and liquidations through tax analysis and the structuring of various options.

After graduating as a Diplom-Kaufmann from the University of Mannheim, Roland worked as an audit assistant from 2005 to 2007 before specializing in transaction and restructuring tax matters in 2008 in the tax department of a leading international audit firm. He qualified as a tax advisor in February 2009.

Relevant Experience:

• Advised a private-equity-led consortium on the buy-side tax due diligence for the acquisition of one of Germany’s leading fuel retail and service station networks in a transaction valued at approximately EUR 1.5 billion
• Provided comprehensive M&A tax advisory services, including tax due diligence, transaction structuring and sales and purchasing agreement (“SPA”) support, for numerous private-equity-backed portfolio companies pursuing buy-and-build strategies in the healthcare sector, with seed investments of up to EUR 1.3 billion
• Assisted an international financial investor in the acquisition of multiple manufacturing sites and business units through a series of complex carve-out transactions in the chemical industry, involving enterprise values exceeding EUR 200 million
• Delivered end-to-end transaction tax support, including tax due diligence, structuring, SPA negotiations, warranty and indemnity (“W&I”) insurance processes and post-deal integration, in connection with a significant co-investment in the telecommunications infrastructure sector as part of a broader financial restructuring
• Designed the global tax carve-out strategy for a major German industrial company and supported the tax workstream in preparation for one of Germany’s largest IPOs
